1. Introduction

1.1 Scope of these Terms

These Terms of Service ("Terms") form a binding agreement between you and InterLink. These Terms govern your access to and use of: (a) the InterLink application and associated mobile and web interfaces; (b) our websites, dashboards, SDKs, smart contracts, and associated services we provide; (c) Interlink Chain, and associated applications or services we provide; and (d) any other products, content, or services that we expressly state are subject to these Terms (each a "Feature," and collectively, the "Features").

Please read all of these Terms carefully before using or accessing the Features. They contain important descriptions, disclosures, obligations, rights, and waivers that may affect you.

By accessing or using any Feature you (a) acknowledge that you have read, understood, and agree to be bound by these Terms and acknowledge our Privacy Notice, each as amended from time to time, (b) represent that you are authorized to accept these Terms on behalf of yourself or any entity you represent, (c) represent and warrant that you meet the Eligibility & Compliance criteria contained in Section 3 of these Terms, and (d) acknowledge and agree that accessing, using, or continuing to use any Feature shall constitute acceptance of these Terms, as they may be amended from time to time. If you do not agree, you must not access or use the Features.

Important notice regarding arbitration and class waivers: These Terms contain a binding arbitration agreement and class action waiver in Section 17, which affect your legal rights if you live in an applicable jurisdiction. If you are in an applicable jurisdiction, the terms in this section require you to resolve disputes with InterLink through binding individual arbitration, rather than in court, and waive your right to participate in class actions or class arbitrations. Please read Section 17 carefully. You have a limited right to opt out of the arbitration agreement as described in Section 17.

Important information regarding risks associated with cryptocurrency and blockchain technology: Cryptocurrencies, tokens, and blockchain applications can be highly risky. They are novel and rapidly-evolving technologies whose availability, usage, utility, value, and functionality is dependent on and affected by third-party actors, market forces, regulatory environments, and emergent or changing technologies and behaviors. These factors create significant complexity and introduce new and unanticipated risks or consequences.

1.2 Access to and Use of Our Features

Many aspects of the Features, such as your wallet or actions you perform on the InterLink Chain, require the use of your private keys, which you maintain complete custody and control over. We cannot access, use, or obtain your private keys. This means that if you lose them, or lose your ability to access or use them, we cannot assist you in getting them back, nor can we assist you in performing any action that would require their use. If you lose your private keys or your ability to use them, there is a very high likelihood that you may also lose all assets, content, and functionality associated with the Features.

The Features provided to you are not investments or investment products. We are not asking or recommending that you buy or sell anything, and nothing should be construed as such. ITL is a utility token distributed based on your activity within the ecosystem, ITLG is a non-transferable activity record and is not a token or an asset. InterLink does not determine or control the value of ITL, does not make ITL or ITLG available for sale to you, and does not operate any marketplace or exchange for them. We do not and are not able to provide you with any financial, legal, or other professional advice. If you have questions of this nature it may be appropriate for you to seek input from a qualified third party.

When accessing the Features, you may provide us with certain categories of personal data. Our Privacy Notice describes the personal data we collect and how we use it.

2. Definitions

Unless the context requires otherwise, the following terms have the meanings given below: • "InterLink," "we," "us," or "our" means the organization that provides the Features. • ITL means the utility token used for activities within the InterLink ecosystem. • InterLink Chain means the public blockchain network known as the InterLink Chain on which certain Features are built. • Features has the meaning given in Section 1.1. • Prohibited Activity has the meaning given in Section 4. • User, you, or your means any natural or legal person who accesses or uses the Features. • Marks means the InterLink name, logo, and any related trademarks or service marks.

3. Eligibility & Compliance

3.1 Eligibility Requirements

You may use the Features only if you:

• are at least 18 years of age and have the full legal capacity to enter into a binding agreement;

• are not a resident, national, or entity subject to, or located in a jurisdiction subject to, sanctions or blocking lists maintained by the United States, the European Union, the United Nations, or any similar lists maintained in a jurisdiction where you may access the Features;

• are not otherwise the target of, or subject to, export controls or similar restrictive measures administered or enforced by any relevant governmental authority;

• comply with these Terms and with all applicable laws and regulations, including any Know Your Customer (KYC), Anti-Money Laundering (AML), or Counter-Terrorist Financing (CFT) requirements;

• are solely responsible for determining whether your use of the Features is lawful in your country of residence and for complying with all applicable local laws and regulations. InterLink does not represent that the Features are appropriate or available in all jurisdictions and accepts no liability for your failure to comply with local law.

3.2 Availability

Webpages describing the Features may be accessible worldwide, but this does not mean all Features are legal or available in your country. You may not use VPNs, proxies, or similar methods to evade geographic or other restrictions or otherwise circumvent the obligations set forth in these Terms. It is your responsibility to make sure that your use of the Features is legal where you use them.

4. Prohibited Activities

You may not, and may not assist or enable any other person to, do any of the following (each a "Prohibited Activity"): • use the Features in connection with fraud, money laundering, terrorist financing, or any other unlawful purpose; • evade or attempt to evade sanctions, export controls, or geographic or other restrictions, including through the use of VPNs or proxies; • create or operate multiple accounts, misrepresent your identity, or interfere with or defeat identity verification, including through bots, synthetic media, or presentation attacks; • sell, transfer, lend, pledge, assign, or otherwise dispose of ITLG or any interest in ITLG, or attempt to create, facilitate, or participate in any market or off-chain arrangement relating to ITLG; • manipulate or attempt to manipulate any market, price, pool, or mechanism relating to any Digital Token; • interfere with, disrupt, or attack the Features or the InterLink Chain, including through denial-of-service attacks, Sybil attacks, or the exploitation of software vulnerabilities; • scrape, harvest, or misuse data of other users; • infringe the intellectual property or other rights of InterLink or any third party; or • otherwise violate these Terms or applicable law.

5. Account Registration and Security

5.1 Registration

To access certain Features, you are required to create an account. You agree to provide accurate, complete, and current information during registration and to keep this information up to date.

5.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your private keys and wallet access. InterLink cannot access, recover, or restore your private keys or wallet.

You are responsible for all activities that occur under your account. You must notify InterLink immediately of any unauthorized use of your account.

6. Identity Verification (KYC)

6.1 Verification Requirements

Certain Features require you to complete identity verification (KYC), which may include providing your full name, date of birth, government-issued identification document, proof of residence, and other information as required by applicable law.

6.2 Consent and Processing

By submitting your information for KYC, you consent to InterLink collecting, processing, and storing your personal data for verification purposes in accordance with our Privacy Policy. InterLink may use third-party service providers to perform identity verification on its behalf.

6.3 Right to Refuse

InterLink reserves the right to refuse, suspend, or terminate access to any Feature if identity verification cannot be completed or if any submitted information is found to be false, inaccurate, or incomplete.

7. Biometric Data

7.1 Collection and Consent

Certain Features, including identity verification, require the collection and processing of your facial scan data ("Biometric Data"). By proceeding with biometric verification, you explicitly and freely consent to the collection, processing, and storage of your Biometric Data solely for the purpose of verifying your identity within the Features. Biometric Data will not be used for any other purpose without your separate consent.

7.2 Data Controller

The entity responsible for the processing of your Biometric Data (the "Data Controller") and its contact details are identified in our Privacy Policy.

7.3 Storage Location and Cross-Border Transfer

Your Biometric Data may be stored and processed on infrastructure located outside your country of residence. Where applicable law requires, any cross-border transfer of your Biometric Data is carried out on the basis of your explicit consent and appropriate contractual and technical safeguards. By proceeding with biometric verification, you expressly consent to such storage and transfer to the extent permitted by applicable law. Where applicable law requires domestic storage of your Biometric Data, the Data Controller will store and process it in accordance with that requirement.

7.4 Security

InterLink implements reasonable technical and organizational security measures to protect your Biometric Data. However, no system is completely secure, and InterLink cannot guarantee the absolute security of your data.

7.5 Third Parties, Your Rights, and Deletion

Your Biometric Data will not be sold, shared with, or transferred to third parties except as required by applicable law or as necessary to perform the verification service using authorized third-party identity-verification and liveness-detection providers bound by appropriate data protection obligations.

Subject to applicable law, you may request access to, correction of, or deletion of your Biometric Data, and you may withdraw your consent to its processing, at any time by contacting InterLink through official support channels. Deletion of Biometric Data or withdrawal of consent may result in loss of access to Features that require biometric verification.

8. Changes to Features or Terms

We may update or add new Features, and we may also update or modify these Terms. When we revise the Terms we will post the updated version and revise the effective date. We will provide reasonable advance notice of material changes via the Features or another reasonable channel, and at least 30 days' advance notice where a change materially reduces your rights or where required by applicable law. Continued use after a change becomes effective constitutes acceptance of the revised Terms. If you disagree with any changes, you must stop using the Features. Because the Features are evolving over time we may change or discontinue all or any part of the Features at any time, at our sole discretion, to the extent permitted by applicable law.

9. Fees & Taxes

Network fees, including base fees and gas fees, are paid directly to the network and are non-refundable. In some cases, fees assessed on transactions may be paid by third parties on your behalf. Other platforms, networks, or applications may assess fees and are your responsibility. Your transactions may result in tax consequences depending on your jurisdiction. It is your sole responsibility to determine whether, and to what extent, any taxes apply based on your use of the Features and to withhold, collect, report, and remit the correct amount of any tax obligations to the appropriate authorities.

10. Risk Disclosure

10.1 General Acknowledgement

Digital tokens and blockchain applications can be highly risky. They are novel and rapidly-evolving technologies whose availability, usage, utility, value, and functionality is dependent on and affected by third-party actors, market forces, regulatory environments, and emergent or changing technologies.

These factors create significant complexity and introduce new and unanticipated risks. You acknowledge and accept that use of the Features carries inherent risks, including but not limited to:

• ITL Valuation Risk. ITL has no guaranteed monetary value. Any value attributed to ITL by third parties may change significantly or be lost entirely. InterLink makes no representation or promise as to any present or future value of ITL, does not sell ITL, and does not operate any exchange or marketplace for ITL.

• ITLG. ITLG has no monetary value, is not an asset, and cannot be transferred, sold, or exchanged.

You should not attribute any monetary value to ITLG or make any decision in expectation of such value. Any third-party arrangement that purports to assign value to, or trade in, ITLG is a Prohibited Activity and is void as to InterLink.

• Regulatory Risk. The regulatory status of digital tokens and blockchain-based services varies by jurisdiction and may change without notice. You are solely responsible for determining whether your use of the Features is lawful in your jurisdiction.

• Technology Risk. The Features are built on emerging blockchain technology. Software bugs, network failures, cyberattacks, or other technical issues may result in loss of access to tokens or data. InterLink does not guarantee uninterrupted or error-free operation.

• Biometric Data Risk. Collection and storage of biometric data carries inherent security risks. While InterLink implements reasonable security measures, no system is completely secure against unauthorized access or data breaches.

• Irreversibility Risk. Certain actions within the Features, such as mainnet migration, are irreversible once completed. If and when any additional on-chain mechanisms are enabled through governance in the future, actions taken through those mechanisms may also be irreversible. You are solely responsible for verifying all information before confirming any irreversible action.

• Private Key Risk. You maintain complete custody and control over your private keys. If you lose your private keys, InterLink cannot assist you in recovering them or any associated assets.

• Fork Risk. The software underlying the Features is or may be open-source. Anyone may create a modified version of the protocol (a "Fork"). In the event of a Fork or other network disruption, InterLink may not be able to support activity related to the Fork, and transactions may not be completed, completed partially, or may be substantially delayed. InterLink is not responsible for any losses caused in whole or in part by a Fork.

• Information Security Risk. The Features may be subject to expropriation or theft. Hackers or other malicious actors may attempt to interfere with the Features, including through malware attacks, denial of service attacks, or Sybil attacks. In the event of a security breach, there may be no remedy, and users are not guaranteed any remedy, refund, or compensation.

10.2 Accuracy and Availability

Although we intend to provide accurate and timely information through the Features, information may not always be entirely accurate, complete, or current. You should verify all information before relying on it. All decisions based on information provided through the Features are your sole responsibility. We do not guarantee that the Features will be available without interruption and assume no responsibility for any error, omission, interruption, or delay in operation.

11. Third-Party Applications and Services

11.1 Third-Party Services

The InterLink Chain and associated infrastructure may be used by third parties to build and operate independent applications, services, and features (collectively, "Third-Party Applications"). These Third-Party Applications are not owned, operated, controlled, or endorsed by InterLink. InterLink does not review, audit, or assume any responsibility for any Third-Party Application or its content, functionality, accuracy, availability, or compliance with applicable law.

Your use of any Third-Party Application is entirely at your own risk and is governed solely by the terms and conditions of that third party. InterLink is not a party to any transaction, agreement, or dispute between you and any Third-Party Application provider. We strongly encourage you to review the terms and privacy policies of any Third-Party Application before use.

11.2 No Endorsement or Liability

The availability of a Third-Party Application on or through the InterLink Chain does not constitute an endorsement, sponsorship, recommendation, or approval by InterLink. InterLink shall have no liability for any loss, damage, or harm arising from your access to or use of any Third-Party Application, including but not limited to loss of digital tokens, loss of data, unauthorized access, or failure of the application to perform as expected. InterLink does not guarantee that any Third-Party Application is free of errors, vulnerabilities, or malicious code.

11.3 Chance-Based and Outcome-Based Features

Certain Third-Party Applications built on the InterLink Chain may incorporate chance-based or outcome-based mechanics, where the result of a user action is determined in whole or in part by a random or probabilistic process.

You acknowledge and agree that: (a) any Digital Tokens or ITLG used in connection with chance-based mechanics are not equivalent to money, chips, or any other instrument of monetary exchange, and carry no guaranteed monetary value; (b) any ITL or ITLG received as an outcome of such mechanics carries no guaranteed value and cannot be exchanged for money or other assets through InterLink; (c) participation in any chance-based mechanic is entirely voluntary and at your own risk; and (d) it is your sole responsibility to ensure that your participation complies with all applicable laws and regulations in your jurisdiction, including any laws relating to games of chance or wagering.

InterLink makes no representation that chance-based mechanics are legal in your jurisdiction. Access to such features may be restricted in certain regions. If you are uncertain whether participation is lawful where you are located, you should seek independent legal advice before proceeding.

12. Intellectual Property, Licensing, and Restrictions

12.1 Ownership

The Features, content, Marks, and all related intellectual property (the "IP") are protected by copyright, trademark, patent, and other intellectual property rights. You agree to abide by all applicable intellectual property rights and laws. You may not remove any copyright, trademark, or proprietary notices contained in the IP.

12.2 Trademarks

The InterLink name, logo, and all related marks are trademarks or service marks of InterLink. You may not copy, imitate, or use the Marks, in whole or in part, without our prior written permission.

12.3 License

Subject to your eligibility and compliance with these Terms, we hereby grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Features for personal, non-commercial purposes.

12.4 License Restrictions

You may not republish, reproduce, copy, modify, distribute, sell, or reverse-engineer any part of the Features or its content without our prior written permission. Any unauthorized use will terminate the license granted herein and may violate applicable intellectual property and other laws. This license is revocable by us to the extent permitted by applicable law, and we will provide notice of revocation where reasonably practicable.

13. Suspension

We may suspend and restrict your access to the Features if: (i) we are required to do so by a valid court order or binding order of a government authority; (ii) we reasonably suspect you of engaging in a Prohibited Activity as defined in Section 4; (iii) your use of the Features is subject to any pending litigation, investigation, or government proceeding, or we perceive a heightened risk of legal or regulatory non-compliance associated with your activity; (iv) our service partners are unable to support your use; or (v) you take any action that we deem as circumventing our controls, such as attempting to create multiple accounts.

14. Termination

We may terminate your access to the Features, in addition to or instead of suspension, if: (i) you materially breach these Terms or engage in a Prohibited Activity; (ii) we are required to do so by applicable law or a binding order; or (iii) we discontinue the relevant Features in accordance with Section 8. Where reasonably practicable and permitted by law, we will provide notice of termination. Upon termination, the license granted under Section 12.3 ends and your access to the Features ceases. Termination does not affect Digital Tokens held in your self-custodied wallet on the InterLink Chain, which remain under your control through your private keys, although application-level Features for viewing or using them may no longer be available to you. Provisions of these Terms that by their nature should survive termination will survive in accordance with Section 19.4.

15. DISCLAIMER OF WARRANTIES

15.1 As-Is Basis

Your use of the Features is at your own risk. The Features and all content and IP are provided on an "AS IS" and "AS AVAILABLE" basis without any representation or warranty, whether express, implied, or statutory. To the maximum extent permitted by applicable law, we specifically disclaim any implied warranties of title, merchantability, fitness for a particular purpose, or non-infringement.

15.2 No Guarantee of Performance

We do not make any representations or warranties that (a) access to all or part of the Features will be continuous, uninterrupted, timely, secure, or error-free; (b) the Features or content are accurate, complete, reliable, or current; (c) the Features are free of viruses or other harmful components; or (d) the Features will meet your requirements or expectations.

15.3 No Legal or Financial Advice

We are not acting and cannot act as your advisor with respect to any financial, legal, investment, or tax matters. Any content speaks only as of the date indicated. No content should be relied upon as professional advice. You are solely responsible for determining whether or not to use the Features and for all decisions you make in connection therewith.

15.4 No Regulatory Warranty

We do not make any representations or warranties with respect to the legality of the Features, ITL, or ITLG for any use case, or that the Features will meet any regulatory or compliance needs. You are responsible for determining and complying with all legal and regulatory restrictions and requirements that may govern your use of the Features.

16. LIMITATION OF LIABILITY

16.1 Exclusion of Damages

To the extent permitted by law, under no circumstances will InterLink or any of its officers, directors, employees, contractors, agents, affiliates, or subsidiaries be liable to you for any indirect, punitive, incidental, special, consequential, or exemplary damages, including damages for loss of profits, goodwill, use, data, or other intangible property, arising out of or in connection with: (a) your use or inability to use the Features or your Digital Tokens; (b) inaccessibility or termination of the Features; (c) any hacking, tampering, or unauthorized access to or alteration of any transaction or your data; (d) any transaction or agreement entered into by you with any third party through the Features; (e) any loss of the value of any Digital Tokens; (f) errors, mistakes, or inaccuracies in our content; or (g) the defamatory, offensive, or illegal conduct of any third party.

16.2 Liability Cap

Under no circumstances will InterLink's total liability to you for any direct claims arising under or related to these Terms exceed one hundred U.S. dollars (USD 100). If you are dissatisfied with the Features, your sole and exclusive remedy is to discontinue your use of the Features.

16.3 Indemnity

You agree to defend, indemnify, and hold harmless InterLink and its affiliates from any claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Features; (b) your violation of these Terms; (c) your violation of any rights of another person; or (d) your conduct in connection with the Features.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms and any dispute arising out of or in connection with them are governed by the laws of Hong Kong, without regard to its conflict of laws principles.

17.2 Informal Resolution

We will use our best efforts to resolve any potential disputes through informal, good faith negotiations. If a potential dispute arises, you must first contact us through official support channels and allow at least 60 days for informal resolution before initiating any formal proceeding.

17.3 Binding Arbitration

Any dispute that is not resolved informally shall be finally resolved by binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force at the time of the arbitration, seated in Hong Kong, conducted in English before a single arbitrator.

17.4 Class Action Waiver

To the fullest extent permitted by applicable law, all disputes will be resolved on an individual basis only.

You waive any right to participate in a class, collective, consolidated, or representative action against InterLink. If this waiver is found unenforceable as to a particular claim, that claim, and only that claim, shall proceed in court rather than in arbitration.

18. Force Majeure

We will not be liable for delays, failure in performance, or interruption of the Features that result directly or indirectly from any act of God, acts of civil or military authorities, acts of terrorists, civil disturbances, war, strikes, health emergencies, fire, interruption in telecommunications or Internet services, failure of equipment or software, significant market volatility in Digital Tokens, or any cause or condition beyond our reasonable control. The occurrence of such an event will not affect the validity and enforceability of any remaining provisions of these Terms.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any feature-specific terms, constitute the entire agreement between you and InterLink with respect to the Features and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

19.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

19.3 No Waiver; Assignment

InterLink's failure to enforce any provision of these Terms is not a waiver of its right to do so in the future.

You may not assign any of your rights under these Terms, and any such attempt will be void. InterLink may assign its rights to any affiliate, subsidiary, or successor in interest.

19.4 Survival

All provisions of these Terms pertaining to Prohibited Activities, suspension or termination, limitation of liability, disclaimer of warranties, indemnity, governing law, and dispute resolution will survive the termination or expiration of these Terms.

19.5 Relationship of the Parties

Nothing in these Terms will be deemed to cause you and InterLink to be treated as partners, joint venturers, or otherwise as joint associates for profit. Nothing in these Terms establishes or is intended to establish any employment relationship between you and InterLink.

19.6 No Fiduciary Duties

These Terms are not intended to, and do not, create or impose any fiduciary duties on InterLink. To the fullest extent permitted by law, you acknowledge and agree that InterLink owes no fiduciary duties or liabilities to you or any other party, and that to the extent any such duties or liabilities may exist at law or in equity, those duties and liabilities are hereby irrevocably disclaimed, waived, and eliminated. The only duties and obligations that InterLink owes you are those set out expressly in these Terms.

19.7 Change of Control

In the event that InterLink is acquired by or merged with a third-party entity, InterLink reserves the right to transfer or assign data collected from you as part of such transaction, in accordance with applicable law and our Privacy Policy.

19.8 Governing Language

These Terms are drafted in English. Any translation is provided for convenience only. In the event of any inconsistency between the English version and a translation, the English version prevails to the extent permitted by applicable law.
